Management of Western Power operations is delegated to the Chief Executive Officer (CEO) who is responsible for implementing the strategic objectives and operating within the risk appetite set by the Board and for all other aspects of the day today running of Western Power. Board composition The Act provides that the Board must comprise not less than four and not more than eight directors. Director independence The Board charter requires the Board to have regard to the independence of candidates when consulting with the Minister on director appointments. Accordingly, all directors of Western Power are considered to be independent, non executive directors. Board members must conform with Western Power’s conflicts of interest standard and are provided with guidelines outlining the duties and obligations of directors and executive officers on their appointment. The role of the Finance Risk Committee is to aid the Board to discharge its responsibilities in relation to Western Power’s financial and treasury management, application of accounting policies, financial reporting and, risk management and compliance systems. The Act imposes requirements on Western Power to report to the Minister on a range of matters. The Board is Western Power’s governing body and responsible to the Minister for its performance. Western Power has a framework to manage its strategic, operational, regulatory and reporting risks. The corporate risk management standard and framework: Electricity retailers buy power from electricity generators and pay Western Power a fee for transporting that electricity through their network.
